Articles of Incorporation of Academy of Grace 1. The legal name of this nonprofit corporation shall be Academy of Grace, hereafter referred to as “Corporation”. 2. The period of its duration is perpetual. 3. The place in this state where the principal office of the Corporation is to be located is in the City of Kingman, within Mohave County and the State of Arizona. 4. The initial registered office of the corporation shall be located at 2721 Louise Ave., Kingman, AZ 86401. 5. The name of the initial registered agent of the corporation is Tori Jo Eads at mailing address 1200 Railroad Street, Kingman, AZ 86401. 6. This corporation shall be organized and operated exclusively to conduct, support, encourage, and assist charitable, religious, educational, and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future tax code. 7. No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in paragraph 6 hereof. No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in (including the publishing or distribution of statement) any political campaign on behalf of or in opposition of any candidate for public office. Notwithstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future tax code, or (b) by a corporation, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or the corresponding section of any future federal tax code. 8. Upon the dissolution of the corporation, all assets, funds and proceeds of the corporation, after the payments of all debts, obligations, charges and accounts of the corporation, shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future tax code, or shall be distributed to the federal government, or to a state or local government, for public purpose. 9. The management of the business, operations and affairs of the corporation shall be vested in the Director of the School and the members on the Board of Trustees (the “Board”). The Board shall be composed of no less than three (3) and no more than nine (9) individuals as outlined in the corporation’s Bylaws. No trustee may serve more than six (6) full and consecutive fiscal years without rotating off the Board for at least one (1) full fiscal year. The fiscal year shall commence July 1 and end on June 30 of each year. Per the corporation’s Bylaws, Trustees shall receive no compensation for their services and each will have an equal vote in matters of the corporation. Dunn Way, Kingman, AZ 86401; Kimberly Porter, 2175 E. Neal Ave., Kingman, AZ 86401. Per the corporation’s Bylaws, the Director may receive compensation for their service and will be an honorary member of the Board of Trustees but shall not be authorized an equal vote in matters of the corporation. The corporation hereby reserves the right from time to time to amend, alter, change, or repeal any provision contained in these Articles in any manner permitted by law.
